Terms of Service

Welcome to CollegePathway. These Terms of Service (“Terms” or “Agreement”) constitute a legally binding agreement between you and Prepaze (“Company,” “we,” “us,” or “our”), the operator of the CollegePathway platform. By accessing or using our Website, Content, or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Definitions
For the purposes of this Agreement, the following definitions apply:
- “Agreement” means these Terms of Service, together with our Privacy Policy and any supplemental terms or policies referenced herein.
- “Content” means all text, graphics, images, software, data, audio, video, and other materials made available through the Service, excluding User Submitted Content.
- “Service” means the CollegePathway web application, application programming interfaces (APIs), mobile applications, and all related tools, features, and functionality provided by Prepaze.
- “User Submitted Content” means any data, text, files, student records, documents, or other materials that you or your Members upload, enter, or otherwise transmit through the Service.
- “Users” means any individuals who access or use the Service, including administrators, counselors, students, and parents or guardians.
- “Website” means the website located at college-pathway.com and all associated subdomains.
- “You” (or “your”) means the individual or entity accessing or using the Service.
- “Organization” means a school, counseling practice, educational institution, or other entity that subscribes to the Service and manages one or more Members.
- “Member” means any individual invited to an Organization account, including counselors, students, and parents or guardians.
2. Acceptance of Terms of Service
By creating an account, accessing the Website, or using any part of the Service, you agree to be bound by this Agreement. If you do not agree to all of the terms and conditions set forth herein, you must not access or use the Service. We reserve the right to modify these Terms at any time, as described in Section 24 below. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.
You represent that you are legally capable of entering into binding contracts. If you are agreeing to these Terms on behalf of an Organization, you represent and warrant that you have the legal authority to bind that Organization.
3. Use of Website, Content, and Services
The Service, Website, and all Content are proprietary to Prepaze and are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal, personal, or organizational counseling purposes.
You may not:
- Copy, modify, distribute, sell, or lease any part of the Service or Content;
- Reverse engineer, decompile, or disassemble the Service or any underlying software;
- Use the Service or Content for any commercial purpose not expressly permitted herein;
- Remove, alter, or obscure any proprietary notices on the Service or Content;
- Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent;
- Resell, redistribute, or make the Service available to any third party except as expressly permitted under your subscription plan.
4. Rules of Use
You agree that you will not use the Service to:
- Violate any applicable local, state, national, or international law or regulation;
- Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, or otherwise objectionable;
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity;
- Interfere with or disrupt the Service, servers, or networks connected to the Service;
- Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service;
- Use the Service to transmit unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation;
- Upload or transmit any viruses, worms, Trojan horses, or other malicious code;
- Collect or store personal data about other users without their express consent.
We reserve the right to investigate and take appropriate action, including suspending or terminating your account and reporting to law enforcement authorities, if we determine in our sole discretion that you have violated these Rules of Use.
5. Account Information
To access certain features of the Service, you must create an account. When creating your account, you agree to:
- Provide accurate, current, and complete information as required by the registration process;
- Maintain and promptly update your account information to keep it accurate, current, and complete;
- Maintain the security and confidentiality of your password and login credentials;
- Notify us immediately of any unauthorized use of your account or any other breach of security;
- Accept responsibility for all activities that occur under your account.
Each login credential is intended for use by a single individual only. You may not share your account credentials with any other person. If you are an Organization, each counselor, student, and parent must have their own individual account. You are solely responsible for any activity that occurs under your account, whether or not you authorized such activity.
6. Roles and Organizations
The Service supports the following roles and organizational structures:
- Administrators: An administrator creates and manages an Organization account. Administrators are responsible for configuring Organization settings, managing billing information, and inviting counselors to the Organization. The administrator assumes responsibility for ensuring that all Members comply with this Agreement.
- Counselors: Counselors are invited to an Organization by an administrator. Counselors may invite students and parents or guardians to the Organization, manage student profiles, create and update college lists, and use the tools provided by the Service for college advising purposes. Counselors are responsible for ensuring that they have obtained proper consent before entering student data into the Service.
- Students: Students are invited by a counselor and may access features designated for the student role, including viewing their college lists, profiles, and application progress. Students are responsible for the accuracy of information they provide.
- Parents / Guardians: Parents or guardians may be invited by a counselor to view their student’s profile, college lists, and progress within the Service. Parental access is subject to the counselor’s configuration and applicable privacy laws.
Each Organization is responsible for managing the roles and permissions of its Members. Prepaze is not responsible for the internal governance or access control decisions made by an Organization.
7. Payment and Fees
Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.
Billing
Paid plans are billed on a monthly recurring basis. All payments are processed through Stripe, our third-party payment processor. By providing your payment information, you authorize us to charge your designated payment method on a recurring basis until you cancel your subscription.
Subscription Plans
The following plans are currently available (prices are subject to change with notice):
- Navigator: $49 per month
- Starter: $69 per month
- Growth: $98 per month
- Professional: $127 per month
- Business: $170 per month
We reserve the right to modify our pricing at any time. If we change the fees for your current subscription plan, we will provide you with at least thirty (30) days’ prior notice before the new pricing takes effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated pricing.
Free Trial
We offer a fifteen (15) day free trial for new subscribers. During the free trial period, you may access the features of the Service without charge. Unless you cancel your subscription before the end of the free trial period, your subscription will automatically convert to a paid plan and your payment method will be charged the applicable fee. You may cancel your free trial at any time from your account settings.
Non-Refundable Fees
All fees are non-refundable except where required by applicable law. No refunds or credits will be issued for partial months of service, downgrades, or unused features.
Upgrades and Downgrades
If you upgrade your subscription plan during a billing cycle, you will be charged a prorated amount for the remainder of the current billing cycle at the new plan rate. If you downgrade your subscription plan, the new rate will take effect at the start of the next billing cycle. No refunds or credits will be issued for downgrades.
Taxes
You are solely responsible for all applicable taxes, duties, or levies imposed by any taxing authority in connection with your use of the Service. Fees quoted are exclusive of applicable taxes unless otherwise stated.
Enterprise and Custom Plans
Enterprise or custom plans may be available for larger organizations and are subject to a separate written agreement between you and Prepaze. Contact us at legal@college-pathway.com for details.
8. User Submitted Content
You retain all ownership rights in and to any User Submitted Content that you upload, enter, or otherwise transmit through the Service. Prepaze does not claim ownership of your data.
By uploading User Submitted Content to the Service, you grant Prepaze a limited, non-exclusive, worldwide, royalty-free license to use, store, reproduce, display, and process your User Submitted Content solely for the purpose of operating, maintaining, and providing the Service to you. This license terminates when you delete your User Submitted Content or when your account is terminated, except as required to fulfill our legal obligations or as set forth in our data retention policies.
You represent and warrant that: (a) you own or have obtained all necessary rights, licenses, consents, and permissions to upload and share all User Submitted Content; (b) your User Submitted Content does not infringe upon the intellectual property rights, privacy rights, or other legal rights of any third party; and (c) your User Submitted Content complies with all applicable laws and regulations.
9. Student Data
If you upload, enter, or otherwise provide student data through the Service, you represent and warrant that you have obtained all required consents, authorizations, and permissions from the applicable students, parents, guardians, or educational institutions to share such data with the Service.
If you are an educational institution or school official subject to the Family Educational Rights and Privacy Act (“FERPA”), you acknowledge that Prepaze may be designated as a “school official” with a “legitimate educational interest” under FERPA to the extent necessary for the provision of the Service. In such cases, Prepaze agrees to: (a) use student education records solely for the purpose of providing the Service; (b) not disclose student education records to third parties except as required by law or as authorized by you; and (c) maintain reasonable administrative, technical, and physical safeguards to protect the confidentiality of student education records.
Prepaze processes student data solely for the purpose of operating and improving the Service. We do not sell student data to third parties, and we do not use student data for targeted advertising. For more information about how we handle student data, please review our Privacy Policy.
10. Intellectual Property
The Service, including all software, code, design, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and the selection and arrangement thereof, is the exclusive property of Prepaze or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The CollegePathway name, the CollegePathway logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Prepaze. You may not use such marks without the prior written permission of Prepaze.
DMCA Notice
If you believe that any content on the Service infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing the following information in writing to our designated copyright agent:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material;
- Your contact information, including address, telephone number, and email address;
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
- A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or are authorized to act on behalf of the owner.

11. Links to Third-Party Sites
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Prepaze. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Prepaze shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any third-party websites or services. We strongly advise you to read the terms of service and privacy policies of any third-party websites that you visit.
12. Disclaimer of Warranties
THE SERVICE, WEBSITE, AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PREPAZE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
PREPAZE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PREPAZE DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE.
THE ADMISSIONS OUTLOOK SCORES, COLLEGE CLASSIFICATIONS, TARGET RANGES, IMPROVEMENT TIPS, AND ALL OTHER INFORMATIONAL ESTIMATES PROVIDED THROUGH THE SERVICE ARE FOR PLANNING PURPOSES ONLY AND DO NOT CONSTITUTE ADMISSIONS PREDICTIONS OR GUARANTEES OF ANY OUTCOME. ACTUAL ADMISSIONS DECISIONS DEPEND ON FACTORS OUTSIDE THE SCOPE OF THIS SERVICE. YOU ACKNOWLEDGE THAT YOU USE SUCH ESTIMATES AT YOUR OWN RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PREPAZE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL PREPAZE’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PREPAZE FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
14. Indemnification
You agree to indemnify, defend, and hold harmless Prepaze and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of this Agreement; (c) your violation of any rights of any third party; (d) any User Submitted Content you upload to or transmit through the Service; or (e) your failure to obtain required consents for student data or other personal information.
15. Age Requirements
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to create an account or enter into this Agreement. If you are under eighteen (18) years of age, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by this Agreement.
The Service is designed to be used by high school students between the ages of fourteen (14) and eighteen (18), under the supervision of a counselor or parent/guardian. Students under the age of eighteen (18) must have their account created or approved by an authorized counselor or parent/guardian.
The Service is not intended for children under the age of thirteen (13). We do not knowingly collect personal information from children under thirteen (13). If we become aware that a child under thirteen (13) has provided us with personal information, we will take steps to delete such information promptly.
16. Termination and Cancellation
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine, in our sole discretion, violates this Agreement, is harmful to other users, or is otherwise objectionable. We may also terminate your account for non-payment of fees.
You may cancel your subscription at any time from your account settings. Upon cancellation, your subscription will remain active until the end of your current billing cycle, after which your access to paid features will cease.
Upon termination or cancellation of your account, you will have thirty (30) days to export or request a copy of your data. After thirty (30) days, we will permanently delete your account data from our active systems, except as required to comply with legal obligations, resolve disputes, or enforce our agreements. Certain anonymized or aggregated data that does not identify you may be retained indefinitely.
17. Assignment
You may not assign or transfer this Agreement or any of your rights or obligations hereunder without the prior written consent of Prepaze. Any attempted assignment without such consent shall be null and void. Prepaze may assign or transfer this Agreement or any of its rights or obligations hereunder without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
18. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions of this Agreement shall continue in full force and effect.
19. No Waiver
The failure of Prepaze to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Prepaze’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
20. Entire Agreement
This Agreement, together with the Privacy Policy and any other legal notices or supplemental terms published by Prepaze on the Service, constitutes the entire agreement between you and Prepaze concerning the Service and supersedes all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Prepaze regarding the Service.
21. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of Delaware for any disputes not subject to arbitration as set forth below.
22. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to this Agreement or the breach, termination, or validity thereof shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator and shall take place in Wilmington, Delaware, or at another mutually agreed location. The arbitrator’s decision shall be final and binding, and judgment upon the award rendered may be entered in any court having jurisdiction thereof.
All arbitrations shall proceed on an individual basis. You agree that you may bring claims against Prepaze only in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
23. Class Action Waiver
YOU AND PREPAZE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. UNLESS BOTH YOU AND PREPAZE AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
24. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by email at the address associated with your account, by posting a notice within the Service, or by other reasonable means at least thirty (30) days before the changes take effect. The “Last updated” date at the top of these Terms will be revised accordingly.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Service and cancel your account.
